Notice of Change of Terms and Conditions

We’ve made several improvements to the Tipalti Services Agreement, Tipalti Software Services Agreement, and the Data Processing Addendum (“Terms”) to clarify our terms, to cover new services and features, and to provide additional helpful information on our processes.

The new Terms apply as of the date of publication, April 4, 2025, for all new customers who agree to them on and after that date.

For existing customers: By continuing to use the Tipalti Services on or after May 5, 2025, you agree to the new Terms that apply to you. If you do not agree, you must stop using the Tipalti Services. If you have questions regarding the updated agreements, please contact customersuccess@tipalti.com.

Effective on May 5, 2025 for all existing customers, the Terms are updated as briefly summarized below::

Tipalti Services Agreement

  • Section 1: Moved references to schedules into section 13
  • Section 2.5: Added provisions for the release and use of beta services
  • Section 3: Clarified availability of future policies, and responsibility for third party overages
  • Section 4.2: Specified ability to use connected email domains to contact payees
  • Section 6.1: Raised the automatic price increase percentage from five to seven percent on renewal, and applied a regional consumer price index measure as an alternative
  • Section 6.2: Added dispute period and resulting waiver
  • Section 7.5: Clarified uses of data, and distinguished between types of data
  • Section 7.6: Simplified language on our collection of records
  • Section 8.2: Specified that notices of non-renewal must be sent to legal@tipalti.com
  • Section 9.4: Clarified our disclaimers of warranty
  • Section 13.1: Specified the prevailing language is English, even where other translations exist
  • Section 13.9: Clarified the contracting entities, applicable schedules, and added Tipalti Canada, Inc. as a contracting entity*
  • Section 13.10: Clarified notice capabilities, and moved addresses of all entities here
  • Section 13.11: Clarified the nature of our processing activities, both as a Processor and Controller
  • Section 14: Added or modified defined terms for CPI, Usage Data, Customer Data, and Tipalti
  • Schedules: Added the Canadian Services Schedule, which will apply to those customers in contract with Tipalti Canada, Inc., and separated the rest of the schedules into separate documents.

*Note that the addition of Tipalti Canada, Inc. to the agreement does not serve as a notice of assignment. If and when applicable, Tipalti will notify you of such assignment.

Tipalti Software Services Schedule

  • Section 1.2: Added process for purchasing payment services, and applies terms accordingly
  • Section 1.6: Added provisions for the release and use of beta services
  • Section 2.2: Added responsibility for third party overages
  • Section 3.2: Added dispute period and resulting waiver
  • Section 4.5: Clarified uses of data, and distinguished between types of data
  • Section 5.2: Specified that notices of non-renewal must be sent to legal@tipalti.com

Data Processing Addendum

  • The Data Processing Addendum was re-formatted with the same concepts and regulatory compliance in mind, but in a shorter, simpler structure to improve understanding and readability.
